Terms of Service
Seam Allowance is a service operated by Suni Creative Company Inc. ("we," "us," or "our"), a corporation incorporated under the laws of Ontario, Canada.

Please read these Terms of Service ("Terms") carefully before using the Seam Allowance application ("Service") available at app.seamallowance.ca. By creating an account or using the Service in any way, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. The Service
Seam Allowance is a production planning tool designed for independent apparel brands. It allows users to manage styles libraries, fabric libraries, production projects, purchase orders, tag inventory, supplier contacts, and related business data. The Service is provided on a subscription basis as described in Section 4.
2. Eligibility and Accounts
You must be at least 18 years old and have the legal capacity to enter into a binding contract to use the Service. By registering, you represent that you meet these requirements.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at hello@seamallowance.ca if you suspect any unauthorized access to your account. We are not liable for any loss or damage arising from your failure to keep your credentials secure.
You may not create an account on behalf of another person without their authorization, or use the Service for any purpose that is unlawful or prohibited by these Terms.
3. Acceptable Use
You agree to use the Service only for lawful business purposes and in accordance with these Terms. You agree not to:
upload, transmit, or store any content that is unlawful, harmful, defamatory, or infringes the intellectual property rights of any third party;
attempt to gain unauthorized access to any part of the Service, our servers, or any system connected to the Service;
use automated tools (bots, scrapers, crawlers) to access or extract data from the Service without our prior written consent;
reverse engineer, decompile, or disassemble any part of the Service;
use the Service to transmit unsolicited commercial communications (spam);
resell, sublicense, or otherwise commercialize access to the Service without our written permission.
We reserve the right to suspend or terminate your account if we determine, in our sole discretion, that you have violated these Terms.
4. Subscriptions, Billing, and Cancellation
The Service is offered under the following subscription tiers: Starter, Growth, Studio, and Enterprise. Pricing, features, and usage limits for each tier are described on the Billing page within the application and on our marketing website at seamallowance.ca.
Billing. Subscription fees are billed in advance on a monthly or annual basis, depending on the plan you select, through our payment processor Stripe. All prices are in Canadian dollars (CAD) unless otherwise stated. By providing a payment method, you authorize us to charge the applicable subscription fee on each billing cycle.
Cancellation. You may cancel your subscription at any time through the Billing portal within the application. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial periods or unused time, except where required by applicable law.
Plan Changes. You may upgrade or downgrade your subscription at any time. Upgrades take effect immediately and are prorated. Downgrades take effect at the start of the next billing period.
Failed Payments. If a payment fails, we will attempt to notify you by email. If payment is not received within a reasonable period, we may suspend or terminate your access to the Service.
Enterprise. Enterprise plan pricing is custom and agreed upon separately. Please contact hello@seamallowance.ca for Enterprise inquiries.
5. Your Data
You retain full ownership of all data, content, and files you upload or create within the Service ("Your Data"). We do not claim any ownership rights over Your Data.
You grant us a limited, non-exclusive, royalty-free licence to store, process, and display Your Data solely for the purpose of providing the Service to you. We will not sell, share, or use Your Data for any purpose other than operating and improving the Service, as further described in our Privacy Policy.
You are responsible for ensuring that Your Data does not violate any applicable laws or the rights of any third party.
6. Intellectual Property
The Service, including its software, design, text, graphics, and all other content created by us, is owned by Suni Creative Company Inc. and is protected by Canadian and international intellectual property laws. These Terms do not grant you any rights in our intellectual property other than the limited right to use the Service as described herein.
The Seam Allowance name, logo, and related marks are trademarks of Suni Creative Company Inc. You may not use our trademarks without our prior written consent.
7. Third-Party Services
The Service integrates with third-party services including Stripe (payment processing) and Google (authentication). Your use of those services is governed by their respective terms of service and privacy policies. We are not responsible for the practices of any third-party service providers.
8. Disclaimers
The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.
The Service is a business productivity tool. We are not responsible for any business decisions you make based on information generated or stored within the Service.
9. Limitation of Liability
To the fullest extent permitted by applicable law, Suni Creative Company Inc. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of or inability to use the Service, even if we have been advised of the possibility of such damages.
Our total aggregate liability to you for any claims arising under or related to these Terms shall not exceed the greater of (a) the amount you paid us in the twelve months preceding the claim, or (b) one hundred Canadian dollars (CAD $100).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you in full.
10. Indemnification
You agree to indemnify, defend, and hold harmless Suni Creative Company Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
11. Termination
We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms or if we discontinue the Service. Upon termination, your right to use the Service ceases immediately.
You may delete your account at any time by contacting us at hello@seamallowance.ca. Upon account deletion, we will delete or anonymize Your Data within a reasonable period, except where we are required to retain it by law.
12. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts of Ontario for any disputes arising out of or relating to these Terms or the Service.
13. Changes to These Terms
We may update these Terms from time to time. When we do, we will update the Effective Date at the top of this page and, for material changes, notify you by email or by a prominent notice within the Service. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms.
